Zap AI Credit Purchase Terms

1. About these terms
These terms apply to the purchase of AI Credits from Zap Technology Pty Ltd (ABN 90 093 757 745) (Zap, we, us, our). By completing a purchase at the checkout, you accept these terms on behalf of the organisation that holds the Zap subscription (the Customer).
These terms form part of the Customer’s existing agreement with Zap, comprising the applicable Order Form, the Zap Terms and Conditions and the policies referenced in them. If these terms conflict with the Zap Terms and Conditions in relation to the purchase of Credits, these terms apply to that purchase. Everything else in the Customer’s agreement, including the provisions covering Artificial Intelligence Services and the limits on Zap’s liability, continues to apply.
2. What Credits are
Credits are the unit in which Zap AI usage is measured. Credits have no cash value, are not legal tender or a stored value facility, and cannot be exchanged for money.
Weekly Allowance means the Credits included in the Customer’s subscription plan each week. The Weekly Allowance resets weekly and unused Weekly Allowance does not carry over.
Purchased Credits means Credits bought under these terms, in packs of Credits.
AI usage draws on the Weekly Allowance first. Purchased Credits are drawn only after the Weekly Allowance for that week is exhausted. Purchased Credits are single-use and do not expire while the Customer’s subscription remains active.
Credits are held at the Customer account level as a shared pool and are not assigned to individual users. Credits are not transferable to any other customer or account.
3. Purchasing
Credits may only be purchased by Customers with an active Zap subscription that includes the AI features, and may only be used within that subscription. Purchases may only be made by users authorised by the Customer. Every purchase is made on behalf of the Customer, not the individual completing it, and the Customer is responsible for purchases made through its account.
Payment is processed by Airwallex through a hosted checkout. Card details are entered directly with Airwallex and are not received or stored by Zap. A tax invoice is issued at the time of purchase.
Payment is taken in full at the time of purchase. Where the Customer’s account currency is not supported for direct settlement, the charge may be processed in a supported currency with conversion applied at checkout. The amount payable, including any conversion, is displayed before payment is confirmed.
4. Price and tax
Prices for Credit packs are displayed at the checkout in the Customer’s account currency. Zap may change Credit pack prices at any time. A price change does not affect Credits already purchased.
Applicable taxes, including GST for Australian customers and VAT for South African customers, are calculated and applied at checkout based on the Customer’s billing details. For customers in other jurisdictions, supplies may be zero-rated with the reverse charge applying, in which case the Customer is responsible for accounting for any tax due in its own jurisdiction.
5. Refunds
Purchased Credits are non-refundable. This does not exclude, restrict or modify any right or remedy the Customer has under the Australian Consumer Law or any other law that cannot lawfully be excluded.
6. When your subscription ends
Purchased Credits do not expire during the subscription. If the Customer’s subscription terminates or expires and is not renewed, any unused Purchased Credits are forfeited at the end of the subscription and no refund or credit is payable for them.
7. Usage limits and restrictions
How Credits are consumed, including weekly limits, administrator controls, the treatment of usage that exceeds available Credits and any restriction of AI features, is governed by the SaaS Fair Use Policy and the Notices published under it, as updated from time to time. Purchasing Credits does not override any limit set by the Customer’s administrators.
8. Auto top-up
Zap may in future offer an optional auto top-up feature that purchases additional Credits automatically when the Customer’s balance runs low. Auto top-up will only operate if the Customer opts in, and will include controls and notifications. These terms will apply to Credits purchased through auto top-up.
9. Changes to these terms
Zap may update these terms from time to time. The version presented at the checkout at the time of purchase applies to that purchase. The current version is always available on the Zap website.
